1. Who and what

VLAK is a platform for creating BBMI measurement reports (NEN 2580) based on a LiDAR scan made with the VLAK app. "We" means VLAK, established in the Netherlands. "You" means the business user holding an account or using the service.

The service consists of: the VLAK scanning app for iPhone, the web dashboard for processing and review, and the generated output (measurement reports, floor plans and 3D models).

2. Applicability

These terms apply to every use of VLAK and to every agreement between you and us. Deviations only apply if we have confirmed them in writing. Your own purchasing conditions do not apply.

VLAK is a business service (B2B). We assume you act in the course of a profession or business.

3. The service

VLAK calculates floor areas according to NEN 2580 and the industry-wide measurement instruction (BBMI) based on the scan you provide. You review and confirm every room yourself in the review screen before the report becomes final.

We aim to deliver reports within one day, seven days a week. This is a best-efforts obligation, not a guarantee: turnaround partly depends on the quality and completeness of the scan.

4. Account and use

Your account is personal to your organisation. You are responsible for keeping credentials confidential and for everything that happens through your account.

You use VLAK only for its intended purpose: producing measurement reports for properties you are authorised to measure. Misuse (including scanning properties without permission of the owner or occupant) may lead to immediate suspension of your account.

5. Measurement reports and your responsibility

VLAK is a tool. You review every measurement, correct where needed and finalise the report. The final report is delivered to your client under your name and responsibility.

We stand for careful calculation according to the standard, but not for acceptance of a report by third parties (such as estate agents, banks, valuers or platforms). The accuracy of the end result partly depends on the quality of the scan and your review.

6. Pricing, free report and payment

You pay per single report or through a monthly plan with a fixed number of included reports. Current prices are listed on the pricing page. All prices exclude VAT.

Free first report: your first completed NEN 2580 report is free, with no payment obligation or direct debit mandate. After that you pay per single report (collected the same day) or via a monthly subscription. Where we offer an introductory discount (for example 50% off your first month), it applies once to the first month; after that we invoice the regular rate. A monthly subscription can be cancelled monthly.

Monthly plans are invoiced in advance. Reports above your monthly allowance count as "extra reports" at the single-report rate; these are invoiced and collected automatically per extra report after the end of the month. Unused reports expire at the end of the month (no carry-over). We announce price changes at least 30 days in advance; in case of an increase you may cancel immediately.

Payment by direct debit: for a subscription you grant us an ongoing SEPA direct debit mandate, on the basis of which we automatically collect the amounts due from your account. You may have a collection reversed within eight weeks via your own bank. If you withdraw the mandate, we may suspend or terminate the subscription.

Failed or reversed direct debit: if a collection fails (for example due to insufficient funds or a chargeback), we will retry and may suspend access to your account until payment is made. In case of default you owe the statutory commercial interest (art. 6:119a Dutch Civil Code) and reasonable collection costs.

7. Availability and maintenance

We do our best to keep VLAK available at all times, but do not guarantee uninterrupted operation. Where possible we announce planned maintenance in advance. We are not liable for damage caused by temporary unavailability.

8. Intellectual property

All rights to the platform, the software and the VLAK brand remain ours. You receive a non-exclusive, non-transferable right of use for the duration of your subscription or purchase.

The scan data you provide remains yours. You receive an unlimited right to use the generated reports and drawings for your own business and delivery to your clients. We may use anonymised and aggregated data to improve the service.

9. Liability

Our total liability per event (or series of related events) is limited to the amount you paid us in the twelve months preceding the event.

We are not liable for indirect damage, such as lost profit, missed savings, reputational damage or damage from loss of data. These limitations do not apply in case of intent or deliberate recklessness on our part, or where the law does not permit a limitation.

You indemnify us against claims from your clients or other third parties arising from reports you have finalised and delivered.

10. Privacy and data

How we handle personal data is described in our privacy policy. We store scan data and reports as long as your account is active, so you can always access them. After termination of your account we delete your data in accordance with the privacy policy.

11. Term and termination

Single reports are one-off purchases. Monthly subscriptions run per month and renew tacitly by one month each time; you can cancel towards the end of each month, with a notice period of no more than one month. An annual subscription runs per year.

For a monthly subscription with an introductory discount, the discount applies once to the first month; after that the subscription continues at the regular rate until you cancel (see article 6). Cancelling is easy via your account.

We may suspend or terminate the agreement in case of payment arrears, a withdrawn or failed direct debit mandate, misuse or violation of these terms. Where reasonable, we warn first; your data is retained as long as the law allows.

12. Changes to these terms

We may amend these terms. We announce material changes at least 30 days in advance via email or the dashboard. If you use VLAK after the effective date, the new terms apply. If you disagree with a change, you can cancel before the effective date.

13. Governing law

These terms are governed by Dutch law. We first try to resolve disputes together; if that fails, the competent court in the Netherlands has exclusive jurisdiction.
